Terms of Service
The terms for buying and managing NubeStack subscriptions through this site.
Draft pending legal review
Who we are
These terms are an agreement between you and NubeStack ("NubeStack", "we", "us"). If you accept them for an organisation, you confirm you may bind it.
Our reseller
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to payment and handles returns.
Subscriptions and renewal
- Subscriptions are sold per seat, billed monthly or annually in advance, and renew automatically until cancelled.
- You can cancel at any time. Cancellation stops the next renewal; you keep access until the end of the period you paid for.
- Adding seats takes effect immediately and is charged pro rata. Removing seats or moving from annual to monthly takes effect at the end of the current period, without a credit.
- Invoiced subscriptions are payable within the terms on the invoice. Licenses issued before payment are limited in time until payment is received.
Seats, keys and devices
- A seat licenses one named person. Each seat's license key may be activated on up to 2 devices used by that person.
- License keys, license files and deployment licenses are confidential. Do not publish or share them outside your organisation.
- You are responsible for the people you give access to the portal and for keeping sign-in email accounts secure.
Offline and deployment licenses
Offline license files and deployment licenses are issued for use within your organisation only. Deployment licenses are also subject to the Deployment License Terms, including their declared seat count and audit provisions.
Suspension
We may suspend new activations and license issuance while a payment is overdue, reversed or disputed, or where we reasonably suspect misuse of license keys. Licenses already issued keep working until they expire unless they were revoked because the payment for them was reversed.
Use of the software
Use of each product is governed by its End User License Agreement (EULA).
Warranty and liability
Except as required by law, the service is provided "as is". To the extent permitted by law, our total liability for any claim relating to a subscription is limited to the fees you paid for that subscription in the twelve months before the claim, and we are not liable for indirect or consequential losses.
Changes, law and contact
We will give notice of material changes to these terms before they apply to your next renewal.
Governing law and jurisdiction: [to be completed before launch].
